The Bylaws of Carlisle Area Youth Soccer -
a program of the Carlisle Family YMCA

Article One: Purposes
1.1     These bylaws, as they may be amended from time to time with the approval of the board of directors of the Carlisle Area Family YMCA, will constitute the rules by which the executive committee of Carlisle Area Youth Soccer, established pursuant to the agreement of merger between the Carlisle Area Family YMCA, (hereinafter called YMCA), and the Carlisle Area Soccer Club manages its affairs.
 
1.2     The purpose of Carlisle Area Youth Soccer is to provide the youth of the Carlisle area with a comprehensive soccer program designed to help these children develop as individuals and as players and to teach them sufficient soccer skills so that those interested can compete at the interscholastic level and beyond. To further this purpose, the executive committee hereinafter established may affiliate this program with any regional sports associations or leagues which the executive committee deems appropriate to associate with.
 

Article Two: Executive Committee Membership
2.1     Carlisle Area Youth Soccer (hereinafter called the soccer program) is a program of the Carlisle Area Family YMCA. The overall control and operation of the soccer program will be under the direction of the YMCA. The day to day operation of the soccer program will be directed by the Sports Director of the YMCA. There will be no less than five, and no more than eleven, members of the executive committee. The initial number of members will be seven.
 
2.2     Individuals in the following positions have a designated spot on the committee: YMCA Sports Director, YMCA Soccer Program Supervisor, Soccer Registrar, and YMCA Associate Executive Director.  All other members of the Executive Committee will be elected by the current members of the committee.   A call for nominations will be made before January 15 of each year. At that time, the co-chairs of the executive committee will determine whether the then-current head coaches of the boys’ and girls’ varsity soccer teams of the Carlisle Area Senior High School (hereinafter called Head Coaches) are willing to serve as members of the executive committee in an advisory role.  The executive committee will nominate the Head Coaches who are willing to serve.  If either head coaching position is vacant at the time the board makes the appointments, then any new head coach who is hired before the next call for nominations will be invited by the executive committee to serve on the executive committee.
 
2.3     Should a vacancy occur on the executive committee, it may be filled by a majority vote of the remaining members of the committee. The new member will serve for the unexpired term to which his or her predecessor was appointed, and, if the unexpired term is one year or less, will be eligible to serve two full terms.  If the unexpired term is more than one year, the new member will be eligible to serve one full term following completion of the unexpired term.
 
 
Article Three: Duties of the Executive Committee
3.1     Subject to the input and advice of the executive committee, the Youth Sports Director of the YMCA, or such other employee of the YMCA whose job responsibilities include management of the soccer program, will manage the day to day operation of the soccer program established for the benefit of the youth of the greater Carlisle community.
 
3.2     The Executive Committee will develop and provide policy guidance for the program in furtherance of its objectives with suggested fees for participation.
 
3.3     The Executive Committee will monitor all activities of the soccer program to insure that the program meets its objectives, and that the program is in compliance with the requirements of any other regional sports associations or leagues with which the committee chooses to affiliate in furtherance of its purposes.
 
 
Article Four: Meetings of the Committee
4.1     Regular Meetings. The Executive Committee may establish its regular meeting dates by resolution. Should it fail to do adopt such a resolution, regular meetings will be held quarterly in the months of March, June, September and December, on the third Wednesday following the first Monday of each said month at 7:30 p.m. at the YMCA. No notice need be given of regular meetings.
 
4.2     Special Meetings. Special meetings of the executive committee may be called by the president of the YMCA, the chairman of the committee, or by any three members of the committee. Notice of any such meeting must be delivered to each member of the committee not less than two nor more than ten days prior to the meeting, and may be delivered by regular mail, e-mail, fax, telephone, or in person. Any notice which is mailed will be deemed delivered on the date it is deposited in the United States mail with proper postage affixed to the member’s address as it appears on the records of the committee.
 
4.3     Quorums. A majority of the members of the committee constitutes a quorum to hold a meeting. A majority of those present at any meeting at which a quorum is at any time present may act on behalf of the committee, unless a larger number is required by these bylaws or the laws of the Commonwealth.
 
4.4     Informational meetings. At least semi-annually, and as more often as the committee may by resolution determine, the committee will hold a meeting for all coaches to inform them about the status of the soccer program and to seek their input as to how the program can be better managed and improved to best fulfill the stated purpose of the program. Coaches will be notified by the YMCA at least 14 days prior to any such meeting.
 
4.5     When not resolved by reference to these bylaws, matters of order or procedure will be governed by the most recent edition of Robert’s Rules of Order.
 
 
Article Five: Officers
5.1     The officers of the committee will consist of two co-chairs and a secretary.  One of the co-chairs must be either the Youth Sports Director of the YMCA or another member designated by the YMCA.  The secretary will be the Sports Registrar.  At the first meeting held after January 1 of every other year, the committee will elect for a two-year term from among its members a co-chair of the committee.
 
5.2     Co-Chairs. One of the co-chairs will preside at all meetings of the committee, will report annually and more often as required by the board of directors to the YMCA, and will perform such other duties as are delegated to him or her by the committee.  The Co-Chair position will be voted on by the committee members.  It will be a two-year term, and the individual may serve no more than two consecutive terms.
 
5.3     Secretary. The secretary will keep the minutes of all meetings, will act as the custodian of committee records, and will deliver all notices which are required by the terms of these bylaws or by law.
 
5.4     Registrar. Either the Youth Sports Director of the YMCA or another YMCA employee designated by the YMCA shall serve as the registrar for the soccer program.  The registrar will have the charge of making sure that the players in the soccer program are in compliance with the registration and participation requirements of any regional sports associations or leagues with which the committee chooses to affiliate.
 
 
Article Six: Tenure. Removal and Actions without Meetings
6.1     Each member shall be appointed for a term of two years, except that the terms of the Head Coaches shall automatically renew annually for as long as they are willing to serve.  No person, except the Youth Sports Director of the YMCA, CAYS Trainer, Sports Registrar, Associate Executive Director of the YMCA, and the Head Coaches, may serve as a member of this committee for more than six consecutive years or in any office of this committee for more than four consecutive years.  Following six consecutive years, a waiting period of one year is required before becoming eligible for membership.
 
6.2     Removal. Any person serving on this committee or any of its sub-committees or as an officer thereof, except the Youth Sports Director of the YMCA, may be removed and a replacement elected by the board or body which elected or appointed him or her whenever in the collective judgment of such board or body the best interests of Carlisle Area Youth Soccer will be best served by so doing.
 
6.3     Any action authorized by these bylaws may be taken without a meeting of the committee if the consent of all of the members of the committee is made in writing and filed with the records of the committee.
 
 
Article Seven: Sub-committees
7.1     The executive committee may appoint such sub-committees as it deems appropriate, giving each such sub-committee an appropriate charge, and it may appoint members to such sub-committees who are not members of this committee. Each such sub-committee must be chaired by a member of the executive committee.
 
7.2     The appointments of all such sub-committees and members thereof will expire on March 1 of each year.
 
 
Article Eight: Parent Communications. Books, Access
8.1     The books and records of the committee will be available at all times to the officers and directors of the YMCA, and for inspection and access to members of the public to the same degree as are the other records of the YMCA.
 
8.2     A parent of any current participant in the soccer program who wishes to communicate directly with the Executive Committee may do so by sending a letter to ‘Carlisle Area Youth Soccer, Attn.: Soccer Program Supervisor, Carlisle Family YMCA, 311 South West Street, Carlisle, Pennsylvania 17013,” and all such communications shall be provided as soon as possible to each member of the Executive Committee.
 
 
Article Nine: Amendments
9.1     These bylaws may be amended, altered, repealed and replaced by the board of directors of the YMCA, or by this committee with the approval of the board of directors. If no action is taken by the board of directors on a bylaw adopted by this committee within two months of its adoption and notice thereof given to the president of the YMCA, it will be deemed to have been approved.
 
 “Advisory role” means a position that (a) mainly involves providing advice to the committee on the basis of the member’s soccer expertise, (b) may involve participation in clinics for recreational and travel program coaches, (c) entitles the member to vote at meetings he or she attends and (d) does not necessarily involve regular attendance at meetings.
